These Terms and Conditions cover the use of the Vadealprint.com website (“our Site”). By accessing any page of our Site or placing an order, you understand and agree to be bound by these terms and conditions.
Proof Approval: Your approval of a proof demonstrates that you approve spelling, word content, pantone color choices, approximate placement, size, and image. You understand that placement is approximate and that images are not to scale. You acknowledge that it is your responsibility to examine this proof closely for any error that could lead to your dissatisfaction with the finished product. The original proof and one round of revisions is complimentary. If further revisions are required, an additional charge per proof may incur. Because we cannot control how everyone’s monitor is set to different color modes, Vadeal Print will not be responsible for color shifts when comparing to E-mail proofs. If digital proofs are made and no order is placed, proofs will be billed at hour design rate of $65 per hour. If PMS colors are not provided, Vadeal Print will match colors based on the graphics provided. PMS match within 90% is acceptable. Vadeal Print cannot guarantee an exact match of PMS to previous re-order jobs. Do not assume that production will make any unauthorized color changes for you. Lithographic PMS Colors: Due to inherent limitations with the printing process, the accuracy of color reproduction is not guaranteed and may vary from 10-15%. By placing an order with Vadeal Print, you agree to this limitation. We accept no responsibility for color variations between submitted files and final printing piece. Under no circumstances, will a reprint be honored for color variations that have occurred during the printing process.
Misprint/Damages Silkscreen/Embroidery/Promotional Items: Misprint/Damages: Vadeal Print will not be responsible for misprints/damages up to 2% per design or a minimum of 1 shirt per design per garment color, whichever is greater, with no penalty to us. Discharge and water base printing is subject to a 5% misprint allowance per design. Garments and screens may shift upon printing and print locations may vary. Vadeal Print cannot guarantee placements will be exact on each garment. Because of differences in equipment, inks, and other conditions between color proofing and production operators, a reasonable variation in color between color proofs and the completed job is to be expected. A variation of this kind occurs, it will be considered acceptable performance. Vadeal Print owns all screens, films and separation files for output. If we need to reprint damaged pieces exceeding the 2% damage ratio, Vadeal Print will require that you ship the misprinted shirts back to our shop via a shipping label we provide. All complaints must be registered within 5 calendar days of receiving the order. Vadeal Print will not be responsible for any shirts sold or given away prior to returning the order (Example: If you order 100 shirts and you’ve sold 15 but then you discover a print defect and you return only 85 shirts to Vadeal Print, we are only responsible for the reprinting of the remaining 85 shirt.) Standard turn around applies to reprinted items. Vadeal Print is not responsible to expedite shipping on any missing pieces or damaged items. Items will ship via FedEx ground upon completion. Decorated items are non-refundable. Vadeal Print will replace, or credit damaged items based on the condition or damage of the items as deemed fit. Vadeal Print is not responsible for the cost of the garment on customer supplied items in the event of a damage. Max liability, whether by neglect or contract won’t exceed the amount invoiced.
Garment Selection: Vadeal Print is not responsible for size or fit of garments select by customers. Subjectivity, or whether the customer likes the garment they chose is the responsibility of the customer and not Vadeal Print. The customer is responsible for knowing the terms of the company whose garments they choose to purchase. Polyester is subject to dye migration. This can happen up to two weeks after garments have been printed and cured. Colors most vulnerable are red, maroon, green, dark blue black and patterned garments. Customer takes all risk for dye migration in polyester and polyester blends. Vadeal Print reserves the right to substitute garments of comparable brand and/or color when customer’s request is unavailable. Garments that are printed or embroidered are non-refundable. Garments and hats are priced separately by quantity and cannot be combined for bulk rate pricing. Undecorated items may be returned prior to production. A 20% restocking fee will incur for all items to be returned or replaced.
Production Time: Production time/turn around will not begin until approval of proof. Giving approval to this proof will release this order for production. Please note any changes after approval may result in additional setup charges. Once an order has been approved, we are not liable for any request changes if items are in production. Cancellations can only be made prior to proof approval. Any changes to orders, or changes in garments/designs after approval may result in adjusted production timelines. For back ordered items, screens reset fee will be applied and the run rate adjusted based on back ordered quantity printed. We are not responsible to expedite back ordered items and standard turnaround time will apply. Under these Terms and Conditions, you agree that you will NOT provide any artwork files consisting of the following material: any material that could infringe rights of privacy, publicity, copyrights, or other intellectual property rights without the permission of the owner of these rights and the persons who are shown in the material if applicable. You accept full legal liability for the content of material processed and printed on your behalf and under your instructions. Business days are from Monday-Friday and do not include weekend or holidays. Orders that are submitted on Saturday, Sunday, and holidays will process the next business day. Vadeal Print is not liable for any delays in production or turnaround times resulting from files or proofs that are submitted after 5:30 PM. Orders submitted after business hours will be processed the following business day.
Artwork: Under these Terms and Conditions, you agree that you will NOT provide any artwork files consisting of the following material: any material that could infringe rights of privacy, publicity, copyrights, or other intellectual property rights without the permission of the owner of these rights and the persons who are shown in the material if applicable. You accept full legal liability for the content of material processed and printed on your behalf and under your instructions. The client is required to provide print ready graphics, we are not responsible if graphics are pixilated or not full bleed.
Artwork Creation: If we create a logo/design for you, please note we do retain the rights of said logo/design unless otherwise specified. If you would like to purchase the vector image created for you, please note there is a $150.00 charge. Please note that typesetting and design services are non-refundable. Upon cancellation of an order, the customer is responsible for the full or partial cost of these services, depending on the time allocated to the project by our designers.
Drop Shipped Items: We are NOT responsible for warehouse errors, packing list errors, or wrong shipments. Please note we do NOT do quality check or inventory check on drop shipped merchandise. It is up to the warehouse to send us inspected garments in the correct styles, colors, quantities, and sizes. Please make sure the garments you send to us match with your purchase order. When shipping items to our facility, it is your responsibility to check your tracking number and notify us once all items have been received. It is the responsibility of the sender to make sure that the correct items are sent to us. Manufacturer and distributor defects or mis-shipments will delay production until all garments are received. It is highly recommended to order more garments than are needed for each size. All additional garments will be included in the print run, and we will bill for what is printed.
Please make sure you regularly check your tracking numbers for items shipped to us. Once all items have arrived at our facility, please let us know so we can notify you if any pieces are missing. Otherwise, we assume we are still waiting on back ordered items and this may cause delays to your production deadlines. This is especially important for orders with multiple skews and designs. If you have us proceed with printing/embroidering an order that is short, all back ordered items will be bill at the new run rate and screens charged. To prevent any additional charges, we suggest you substitute garments/colors when applicable. Vadeal Print is not responsible for mistakes or defects on behalf of the manufacturer or distributor: mislabeled sizes, inconsistent coloring, dye lots, manufacturer garment defects, etc. We cannot inspect each garment or count them in individually for manufacturer defects. Manufacturer and distributor defects or mis-shipments will delay production until all garments are received. It is highly recommended to order more garments than needed for each size.
Shipping: Shipping is not included in estimates unless requested. Shipping time is not included in turnaround time. Once the shipment is handed over to the carrier, we cannot guarantee timeliness or exact delivery dates. Vadeal Print will not be held responsible for lost, damaged or delayed products caused by shipping carriers such as FedEx, UPS, USPS, GSO or private couriers. All completed orders will be shipped via FedEx unless third party arranges UPS, GSO or courier pick up.
Purchase Orders: All decorating, PMS and shipping instructions must be included in a written purchase order. We will not be held responsible for instructions not included in the purchase order or for inconsistent instructions (e.g., contradicting/differing instructions on the same purchase order.) If updates are made to an order, a new P.O must be provided prior to shipping. If instructions are not listed on the written purchase order, Vadeal Print is not liable for any errors. Requesting a deadline does not make it effective, as scheduling often needs to be confirmed with our production manager. Prices may be revised at the time of invoice based on actual work performed and modifications made to the order. Max liability, whether by neglect or contract won’t exceed the amount invoiced.
Unfinished Abandoned Orders: Unfinished orders where we cannot get a hold of customers after 3 weeks, will be canceled. Unfinished abandoned orders are non-refundable. Client will be contacted via phone call or email multiple times. Vadeal Print will then give the client a final notice phone call and email to confirm the order is canceled.
Finished Abandoned Orders: Due to limited warehouse space, it is very difficult for Vadeal Print to keep the inventory of abandoned jobs. Finished orders that have been in Will Call for 8 weeks from the completion date (Approximately 2 months), will be donated to a charity or recycled. Our accounting department will close the order. There will be no refunds on any orders after the order has been donated or recycled. Vadeal Print will then give the client a final notice email or call to make proper arrangements. If no arrangements have been made, we will proceed with donating or recycling the order.
Condition of Sale/ Open Balances: A delinquency 2% which is an annual rate of 20% will charged on accounts past due. A $50.00 service charge will be levied on all checks returned due to insufficient funds or for any other reason. Licensee must cover the returned check with cash, money order or certified check. In case of suit for collection, all costs of collection, suit and reasonable attorney’s fees will be charged. The afore mentioned terms and conditions are by the laws of the state of California without regard to or application of its conflict of law provisions or your state or country. of residence. You consent to the jurisdiction of the Small Claims and/or Superior Court of California, County of Orange for enforcement.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VADEAL PRINT INC —INCLUDING ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, OR AFFILIATES (COLLECTIVELY, THE “COVERED PARTIES”)—BE LIABLE FOR ANY INJURY, DEATH, LOSS, CLAIM, DAMAGE, ACT OF GOD, ACCIDENT, DELAY, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH ANY USE OF THIS SITE OR WITH ANY DELAY OR INABILITY TO USE THIS SITE, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS OR SERVICES OBTAINED THROUGH THIS SITE, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO CERTAIN USERS. IN NO EVENT SHALL THE COVERED PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO NEGLIGENCE) ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SITE EXCEED THE AMOUNT PAID BY YOU TO VADEAL PRINT FOR THE REQUEST.
